Vendor Agreement
The Crafter’s Market Network
Operated by Hearthstone Enterprises, LLC
Effective Date: July 15, 2026
The Crafter’s Market Network is operated by Hearthstone Enterprises, LLC (“the Network”). By submitting a vendor application, accepting an invitation to participate, reserving booth space, making payment, or participating in any event hosted by the Network, you agree to the terms of this Vendor Agreement.
1. Vendor Acceptance
Submitting an application does not guarantee acceptance into an event.
The Network reserves the right to approve, decline, or place any application on a waitlist based on product variety, available space, event needs, quality standards, and the overall goals of each event.
2. Vendor Responsibilities
As a participating vendor, you agree to:
- Provide complete and accurate application information.
- Sell only products approved during the application process unless additional approval is granted.
- Operate your booth in a safe, professional, and courteous manner.
- Follow all event rules, organizer instructions, and published Network policies.
- Comply with all applicable federal, state, and local laws.
- Obtain and maintain any licenses, permits, tax registrations, or certifications required for your business.
You are solely responsible for your business operations and legal compliance.
3. Booth Assignments
Booth locations are assigned by the Network.
While requests may be considered, booth locations are not guaranteed and may be adjusted before or during the event for operational, logistical, or safety reasons.
Booths may not be transferred, shared, assigned, or subleased without written approval from the Network.
4. Event Modifications
The Network reserves the right to modify event details when reasonably necessary.
This includes, but is not limited to:
- Event venue
- Event date
- Operating hours
- Booth assignments
- Booth layout
- Floor plans
- Parking arrangements
- Traffic flow
- Setup procedures
Changes made for operational, safety, weather-related, or venue-related reasons do not constitute cancellation of the event or a breach of this Agreement.
Whenever practical, vendors will be notified as soon as reasonably possible.
5. Booth Fees and Payment
Booth reservations are not confirmed until payment has been received.
Unless otherwise stated:
- Payment is due within seven (7) calendar days of approval.
- Failure to pay may result in cancellation of your reservation.
- Unpaid spaces may be offered to vendors on the waitlist.
The Network reserves the right to adjust payment deadlines when necessary.
6. Cancellations, Refunds, and Event Credits
Booth fees are non-refundable.
Vendors who cancel at least 45 days before an event may request a one-time event credit equal to the booth fee.
Credits:
- Must be used within twelve (12) months.
- Have no cash value.
- Are non-transferable.
Cancellations made fewer than 45 days before the event, including no-shows, are not eligible for refunds or credits.
If the Network cancels an event because of severe weather, venue closure, government action, or other circumstances beyond its reasonable control, vendors will generally receive an event credit for a future event. Refunds will only be issued when required by law or specifically authorized by the Network.
7. Setup and Breakdown
Vendors agree to:
- Arrive during designated setup times.
- Complete setup before the event opens.
- Keep booths open and staffed during all public event hours.
- Refrain from early breakdown unless authorized by event staff.
- Remove all merchandise, displays, trash, and equipment after the event.
8. Vendor Conduct
Professionalism is expected at all times.
Vendors must treat customers, fellow vendors, volunteers, staff, venue employees, and community partners with courtesy and respect.
The following may result in immediate removal without refund:
- Harassment
- Threatening behavior
- Discrimination
- Abusive language
- Intoxication
- Illegal activity
- Disruptive conduct
9. Products
Only products approved during the application process may be sold.
The Network reserves the right to prohibit any item that:
- Violates applicable law.
- Infringes on copyrights or trademarks.
- Presents safety concerns.
- Is offensive or inappropriate for a family-friendly event.
- Was not approved during the application process.
10. Photography and Marketing
By participating, you grant the Network permission to photograph or record:
- Your booth
- Products
- Displays
- Employees
- Representatives
These images may be used for marketing, websites, social media, printed materials, and future event promotion without additional compensation.
11. No Guarantee of Attendance or Sales
Participation in any event involves business risk.
The Network does not guarantee:
- Attendance
- Customer traffic
- Sales
- Revenue
- Profitability
- Media coverage
- Business opportunities
Booth fees are paid for the opportunity to participate in an event and do not guarantee any particular financial outcome.
12. Assumption of Risk
Participation in public events carries inherent risks.
Vendors assume responsibility for risks including:
- Theft
- Property damage
- Weather
- Equipment failure
- Customer interactions
- Personal injury
Vendors are responsible for protecting their own property.
13. Release of Liability
To the fullest extent permitted by law, vendors release and hold harmless Hearthstone Enterprises, LLC, doing business as The Crafter’s Market Network, along with its members, managers, employees, volunteers, sponsors, venues, contractors, and partners from claims arising from participation in an event, except where caused by gross negligence or willful misconduct.
14. Indemnification
Vendors agree to defend, indemnify, and hold harmless the Network from claims arising from:
- Vendor negligence.
- Vendor products.
- Vendor services.
- Violations of law.
- Intellectual property infringement.
- Injuries caused by the vendor’s operations.
15. Force Majeure
The Network shall not be liable for cancellations, postponements, relocations, or event modifications caused by circumstances beyond its reasonable control, including severe weather, natural disasters, venue closures, government actions, utility failures, labor disputes, public health emergencies, fire, flooding, or other unforeseen events.
16. Limitation of Liability
To the fullest extent permitted by law, the Network shall not be liable for indirect, incidental, consequential, or special damages, including lost profits, lost sales, lost business opportunities, or business interruption.
Any liability of the Network shall not exceed the booth fee paid for the applicable event.
17. Insurance
Vendors are encouraged to maintain business liability insurance.
Certain venues or events may require proof of insurance. Vendors will be notified if coverage is required.
18. Right to Remove Vendors
The Network reserves the right to remove any vendor who:
- Violates this Agreement.
- Violates published policies.
- Creates safety concerns.
- Misrepresents products.
- Engages in unlawful conduct.
- Disrupts the event.
Decisions regarding vendor acceptance, booth placement, policy interpretation, and event operations are made solely by the Network and are final.
19. Governing Law
This Agreement is governed by the laws of the state in which the applicable event is held.
Any legal action shall be filed in a court of competent jurisdiction within that state.
20. Entire Agreement
This Agreement, together with all published Vendor Guidelines, Policies, and Event Rules, constitutes the complete agreement between the Vendor and Hearthstone Enterprises, LLC, doing business as The Crafter’s Market Network.
If any provision is found unenforceable, the remaining provisions shall remain in effect.
Vendor Acknowledgment
By submitting an application, making payment, electronically signing, or participating in a Network event, you acknowledge that you have read, understood, and agree to this Vendor Agreement.
